Terms of Service

Effective date: October 24, 2026

These Terms of Service ("Terms") are an agreement between you and Model Tool Labs, Inc. ("Model Tool Labs", "we", "us") and govern your use of M2 Canvas — our website at m2ui.ai, the M2 web app, the M2 Mac app, the M2 MCP server and the @m2canvas/connect local bridge (together, the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company or other organization, you agree on its behalf and confirm you have the authority to do so; "you" then includes that organization.

Who can use M2

You must be at least 13 years old (16 in the European Economic Area and the United Kingdom) to use the Service. To buy a paid plan, you must be at least 18, or the age of majority where you live. You may not use the Service if you are barred from doing so under applicable law.

M2 is currently in private beta. Access is by invitation, and features may change, be limited or be removed while the Service is in beta.

Your account

You are responsible for your account, for keeping your sign-in credentials secure, and for everything done through it — including by agents you connect to it. Give us accurate information and keep it up to date. Tell us right away at hello@m2ui.ai if you think your account has been accessed without permission.

Workspaces and teams

A workspace is owned by the person who created it. The owner and admins can invite members, assign roles (admin, editor, viewer), share projects, manage billing and remove members. If you join someone else's workspace, the content you create there belongs to that workspace, and its owner and admins control it — including after you leave.

Your content

"Your Content" means the designs, pages, layers, design systems, apps, files, prompts and other material you or your agents put into the Service.

  • You own Your Content. We claim no ownership of it.
  • License to us. You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, display and transmit Your Content only as needed to provide, secure and improve the Service for you — for example, to sync it between collaborators, render previews, and send it to AI model providers when you use the built-in agent. This license ends when Your Content is deleted from the Service, except for copies we must keep by law or in backups for a limited time.
  • No training. We do not use Your Content to train AI models.
  • Your responsibility. You confirm that you have the rights needed to put Your Content into the Service and to let us process it as described here, and that it does not violate these Terms or anyone else's rights.
  • Sharing. If you share a project — for example with "Anyone with the link" — anyone with access can view it. You are responsible for what you choose to share.

AI features

The Service includes a built-in AI agent and lets you connect your own agents through MCP.

  • Output. Content generated by AI ("Output") can be inaccurate, incomplete or similar to content generated for others. Review Output before relying on it. As between you and us, and to the extent permitted by law, you own the Output generated for you, subject to these Terms.
  • Third-party providers. The built-in agent uses third-party AI model providers, as described in our Privacy Policy. You agree not to use AI features to violate the usage policies of those providers.
  • Your own agents. Agents you connect act on your behalf with your permissions. You are responsible for their actions in the Service, and for your agreement with their providers.

Acceptable use

You agree not to do any of the following, and not to let anyone else (including any agent) do them:

  • break the law, or infringe or misappropriate anyone's intellectual property, privacy or other rights;
  • upload or create content that is unlawful, harassing, hateful, sexually exploits minors, promotes violence, or is otherwise harmful;
  • upload malware, or use apps, design-system code or other features to attack, phish, or collect other people's data or credentials;
  • probe, scan or test the vulnerability of the Service, or get around its security, rate limits, usage limits or access controls, except through a responsible disclosure to hello@m2ui.ai;
  • interfere with or overload the Service, or access it by automated means other than our documented interfaces (such as MCP);
  • copy, reverse engineer or resell the Service, or use it to build a competing product;
  • share accounts, or create accounts to evade a suspension or plan limits.

To report content or behavior that breaks these rules, email hello@m2ui.ai. We may remove content, disable design systems or apps, or restrict accounts that violate these rules.

Plans, billing and credits

  • Plans. Current plans and prices are shown on our Pricing page. Paid plans are billed per seat, in advance and on a recurring basis (monthly unless stated otherwise), until you cancel.
  • Payment. Payments are processed by Stripe. You authorize us, through Stripe, to charge your payment method for your plan, seats and applicable taxes. If a payment fails, we may limit paid features until it succeeds.
  • Credits. The built-in agent uses credits. Credits included with your plan are valid for the billing period they are granted in and do not carry over to the next one. Top-up credits you buy expire 12 months after purchase. Promotional credits may expire, and we tell you when they do. Credits have no cash value, cannot be transferred or exchanged for money, and are not refundable.
  • Price changes. We may change prices or what a plan includes. We will give you at least 30 days' notice before a price increase applies to your subscription.
  • Cancellation. Subscriptions renew automatically until you cancel. You can cancel at any time from billing settings. Your plan stays active until the end of the current billing period and then does not renew. You cannot delete a workspace while it has an active paid subscription.
  • Refunds. Except where required by law, payments are non-refundable, and we do not give refunds or credits for partial billing periods, unused seats or unused credits. If you think you were charged by mistake, email hello@m2ui.ai within 30 days of the charge and we will look into it.
  • Refunds and disputes. If a payment is refunded, credits granted with it may be removed. If a payment is disputed or reversed, we may suspend the paid plan until the dispute is resolved.
  • Downgrades and limits. If your workspace goes over the limits of its plan, items over the limit may become read-only until you upgrade or reduce usage.
  • Taxes. Prices exclude taxes unless stated otherwise. You are responsible for applicable taxes.

Our intellectual property

The Service, including its software, design, logos and documentation, belongs to Model Tool Labs and its licensors and is protected by law. Except for the rights we expressly give you in these Terms, we keep all rights. If you send us feedback or suggestions, we may use them without any obligation to you.

Third-party services

The Service lets you use or connect third-party services, such as Google and GitHub sign-in, AI agents and model providers. Your use of those services is governed by their terms, and we are not responsible for them.

Mac app

If you download the M2 Mac app from our website, we give you a limited, non-exclusive, non-transferable, revocable license to install and use it to access the Service under these Terms.

Suspension and termination

You can stop using the Service at any time, and ask us to delete your account as described in our Privacy Policy. We may suspend or terminate your access if you materially breach these Terms, if required by law, or to prevent harm to the Service or other users. Where reasonable, we will give you notice and a chance to export Your Content first. We may also end the Service or a feature, in which case we will give you reasonable notice and refund any prepaid fees for the unused period.

Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnity and governing law — survive.

Disclaimers

The Service, including AI Output, is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not promise that the Service will be uninterrupted, error-free or secure, or that content will never be lost — keep your own copies of important work. Beta features are provided for evaluation and may not work as expected.

Limitation of liability

To the fullest extent permitted by law, Model Tool Labs will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Service or these Terms. Our total liability for all claims relating to the Service or these Terms is limited to the greater of (a) the amounts you paid us for the Service in the 12 months before the claim arose, or (b) US $100.

Some jurisdictions do not allow certain disclaimers or limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

Indemnity

If you use the Service for business purposes, you will defend and indemnify Model Tool Labs against third-party claims, and related costs, arising from Your Content, your use of the Service in violation of these Terms or the law, or the actions of agents you connect.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules.

Talk to us first. If you have a dispute with us, email hello@m2ui.ai with a description of it. We will try to resolve it informally for 60 days before either of us starts a formal proceeding.

Arbitration. If we can't resolve it, you and we agree that any dispute arising from or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, rather than in court. The arbitration may be held by video conference or in Delaware. Either of us may instead bring an individual claim in small-claims court, and either of us may ask a court to stop the infringement or misuse of intellectual property.

No class actions. You and we may bring claims only on an individual basis, not as a plaintiff or class member in any class, consolidated or representative action.

Opting out. You can opt out of this arbitration agreement by emailing hello@m2ui.ai within 30 days after you first accept these Terms. If you opt out, or if a dispute isn't subject to arbitration, it will be resolved exclusively in the state or federal courts located in Delaware, and you and we consent to their jurisdiction.

EEA and UK consumers. If you are a consumer in the EEA or the UK, this section does not apply to you: you keep the protection of the mandatory laws of your country of residence and may bring claims in your local courts.

Changes to these Terms

We may update these Terms from time to time. We will post the new version on this page and change the "Effective date". If the changes are material, we will tell you by email or in the Service at least 30 days before they take effect, unless the change is required by law or addresses a new feature. If you keep using the Service after the changes take effect, you accept the updated Terms.

General

These Terms, together with our Privacy Policy and any order or plan terms, are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest stays in effect. If we don't enforce a provision, that isn't a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms are written in English; any translation is provided for convenience, and the English version controls.
